minimize legal risks. The scope of the job includes many high value assets with complex and voluminous contractual arrangements.

Working in an environment where the legal regime (esp. the energy sector) is not highly developed with recent and constantly

changing legislations, so clear answers are often not available. The Legal Department is involved with negotiations and legal

discussions which can be protracted and require a flexible, diplomatic approach in order to achieve the business objectives without

significant compromise on legal issues.

The General Counsel provides all necessary support and advice for the activities of TotalEnergies in the UAE in order to: i) minimize legal

risks; ii) optimize our commercial position; and iii) find pragmatic and diplomatic solutions to problems. Major Activities are:

Negotiations and Agreements

- Advise on terms of existing agreements / Participate in negotiations with the State, national companies and Joint Venture

partners/ Prepare, review and validate new agreements and major contracts and support their implementation

Disputes and Litigation

- Prevent disputes and litigation / Defend the interest of TotalEnergies in the event of disputes or litigation (threatened

or actual)

Additional Legal Support

- Maintain effective contact with DGEP/JA / Select and manage external Legal support in UAE as

required Maintain Legal Databases

- Stay informed on new Laws and Regulations affecting Company's operations, influence where possible, and alert/advise

relevant Departments of new developments / Maintain comprehensive and up-to-date Title Documents Database / Maintain

Legal team management

- Plan and follow the activities of the department / Take the lead in the creation of a cohesive and effective team / Evaluate the

performance of employees (EIA) / Validate and monitor training plans of employees / Contribute wherever possible to the

"Emiratizations" of the department

Degree: Law — minimum requirement is LL.B Honors from civil/common law jurisdiction (Europe, UK, US) but preferably Masters in

Petroleum law.

Experience: minimum 15 years' experience in E&P law.

Knowledge/Skills: Petroleum law, international business law/public law; community law/environmental law; company law.

The Legal Department is involved in negotiations and discussions that can be protracted and require a flexible, diplomatic approach to achieve business objectives without significant compromise on legal issues.

The General Counsel provides support and advice to minimize legal risks, optimize our commercial position, and find pragmatic, diplomatic solutions to problems. Major activities include:

• Negotiations and Agreements: Advising on terms of existing agreements, participating in negotiations with the state, national companies, and joint venture partners, and supporting the preparation, review, and implementation of new agreements and major contracts.
• Disputes and Litigation: Preventing disputes and litigation, and defending TotalEnergies' interests in the event of disputes or litigation.
• Additional Legal Support: Maintaining effective contact with DGEP/JA, selecting and managing external legal support in the UAE as required, and maintaining legal databases.
• Legal Team Management: Planning and overseeing departmental activities, leading team creation, evaluating employee performance, validating training plans, and contributing to the Emiratization of the department.

Degree: Law degree, with a minimum of LL.B Honors from a civil or common law jurisdiction (Europe, UK, US); a Master's in Petroleum Law is preferable.

Experience: Minimum of 15 years' experience in E&P law.

Knowledge/Skills: Petroleum law, international business law, public law, community law, environmental law, company law. The candidate should be a senior member of the UAE management team, providing legal assistance to various assets and corporate entities, and serving as Sanction Officer for all TotalEnergies affiliates in the UAE.

The job holder is responsible for the effective and efficient management of Legal matters, provision of legal advisory services and ensuring effective management of legal and contractual risks.

1. Review Contracts and provide comments and suggested revisions that protect the Company's interests.
2. Develop contracts and other legal documents for Company use.
3. Review and be informed concerning the laws regarding labour relations, tax & excise regulation, import/export restrictions and tort of other countries where we conduct business.
4. Review press releases to ensure no proprietary information is divulged or made public.
5. Participate and assist in Internal Audits when requested.
6. Respond to areas of litigation in which the Company may become engaged.
7. Other duties as requested by the Chief Executive Officer.

1. Law Degree.
2. Active Member and Practiced Law in the courts of UAE.
3. Total 10 years' experience, some of it should be in-house ideally in a large construction company, with a proven track record in contract negotiation and drafting.
4. Proven track record of adding value to an organisation through the development of comprehensive contract documents that mitigate risk and penalties.
5. Strong leadership and managerial skills.
6. Excellent relationship management and communication skills necessary for interaction with Governmental Institutions, the Judicial system and negotiating parties.
7. Demonstrate knowledge of, and experience with, laws dealing with government and/or commercial contract administration, particularly contract negotiation, preparation and administration.
8. Proven ability to delicately solve sensitive matters.

The role entails providing strategic legal support to the organization's day-to-day operations, focusing on contract lifecycle management, regulatory compliance, and business project advisory services. This includes drafting, reviewing, and negotiating contracts, as well as assisting in dispute resolution processes.

As a key member of the legal department, you will be responsible for maintaining close coordination with internal stakeholders and external counsel to identify, assess, and mitigate legal risks. The ideal candidate should possess strong analytical skills, attention to detail, and a broad range of experience under the guidance of senior legal team members.

Responsibilities:

• Collaborate with legal counsel to provide practical advice and risk assessments across the organization's operations.
• Assist in reviewing business initiatives to ensure compliance with applicable laws and regulations, supporting informed decision-making.

Contract and Transaction Management:

• Draft, review, and negotiate commercial agreements with various parties, including tenants, vendors, agents, brokers, and financial institutions.
• Support real estate and development transactions, encompassing due diligence, documentation, and closing process coordination.
• Provide legal input on land/property sale deeds, lease agreements, and related transactional documents.

Legal Documents and Intellectual Property:

• Maintain, update, and standardize legal templates according to applicable laws and commercial needs.
• Draft and review legal documents, correspondence, and notices to ensure compliance and mitigate risks.
• Oversee legal records management, including trade/commercial license renewals.

Regulatory Compliance:

• Monitor relevant laws and regulations affecting the organization's operations, particularly in land development, corporate law, and UAE labor law.
• Communicate legal and regulatory updates to internal teams and assist with implementation to maintain ongoing compliance.

Qualifications:

• Bachelor's degree in law or a related field; Master's degree is preferred.
• Minimum 10 years post-qualification experience as an in-house legal counsel or at a law firm, with a focus on the real estate industry.
• Extensive knowledge of UAE legislation and legal framework, as well as corporate governance and compliance principles.

Serve as the first point of contact in the MEA region for the Vice President, Corporate Secretary, and General Counsel for ESG and International (located in the and, working with the other members of the Honeywell Law Department, ensure delivery of legal services in a timely and effective manner across the region.

Actively participate on the regional business leadership teams and operate as a true business partner, providing commercial and pragmatic advice and solutions.

Enable right and fast legal counsel on the full range of legal and regulatory issues for each of the businesses in the region, including those relating to company secretarial, commercial and contract law, environmental, health and safety, intellectual property, leasing, licensing, compliance, foreign investment, labor & employment, M&A, product liability, anti-trust, etc.

Analyze, assess the risks and benefits of, and lead execution of matters of strategic importance to the business in the region, such as alliances, acquisitions, divestitures, partnerships, joint ventures and the establishment of new sites and legal entities (including engagement with regulators).

For the UOP and Sustainable Technology Solutions business units, work directly with the regional business, finance, legal and other functional teams with respect to commercial matters (including drafting, negotiating and managing legal documentation for a broad range of commercial transactions such as partnership, licensing, supply, and sales agreements), dispute resolution, training and compliance.

Provide regional leadership for all in-region Law Department personnel, fostering a One Honeywell team and owning the ongoing development of the regional legal team in a high-performance culture.

Manage litigation and direct dispute resolution efforts, including the management of external counsel for referred matters in the region.

Champion the integrity and compliance program for the region, including participation in internal investigations in coordination with the Honeywell Integrity & Compliance team.

Conduct preventive law training on a wide variety of topics, including competition law, export regulations, data privacy, contracting excellence, protection of intellectual property, anticorruption, and workplace issues.

Develop standardized processes and templates to efficiently deliver legal services in the region and in support of Honeywell Law Department initiatives.

Qualifications:

At least 7 years of post-qualification experience as a Licensed Attorney working at a major law firm and/or multinational company in a senior legal capacity.

• Law qualification will be an added advantage.

Experience in managing legal staff.

Strong multinational business transactional experience, including business acquisitions, divestitures, and joint ventures as well as commercial agreements.

Familiarity with compliance matters and in-region dispute resolution and litigation.

Demonstrated intellectual capacity and high personal standards of excellence, including integrity and good judgment.

Personal presence, communication skills, and credibility necessary to effectively interact with and influence senior management across businesses, functions, and geographies.

Ability to work independently and aggressively to drive key initiatives at a distance from direct supervisor.

Ability and enthusiasm for serving as a strategic thought leader while simultaneously engaging in details and executing in a tactical capacity.
