DUTIES AND RESPONSABILITIES
- Manages a variety of critical legal services that have a significant impact on the business and the commercialization of pharmaceutical products within these regions. Provides specialized legal counsel and strategic advice to senior management on a wide range of legal issues.
- Advises on legal matters and compliance requirements including commercial law, regulatory compliance, intellectual property, corporate law, and competition so that the organization's business policies, practices, and procedures are in compliance with applicable laws and regulations.
- Engages in shaping the external legal and regulatory environment on critical legal policy developments affecting the pharmaceutical sector in the region.
- Drafts, reviews, negotiates, and finalizes a variety of contracts, ensuring compliance and effective risk management.
- Manages legal disputes and coordinate litigation matters, working closely with local teams and external counsel.
- Partners with various teams on strategic projects such as market access initiatives, patient support programs, and digital healthcare solutions, fostering a collaborative environment.
- Collaborates effectively with colleagues across various departments, including regulatory, compliance, and all other operational teams and other support functions to support business goals and uphold legal integrity.
- Leads training sessions on pertinent legal issues for internal teams, ensuring comprehensive understanding of compliance and legal standards.

REQUIRED QUALIFICATIONS
Education :
- Law Degree from a reputable institution; supplementary degree or LLM preferred.
Experience :
- Licensed attorney with at least 10 years of post-qualification experience.
- Proven experience in providing specialized legal counsel and strategic advice to senior management in a law firm or multinational company in Gulf countries or Saudi Arabia.
- Prior experience in the pharmaceutical or healthcare industry is highly desirable.

To provide legal advice and guidance on all aspects of the business in order to protect RAKP from any potential risks and exposure whilst ensuring legal and regulatory compliance.
Key Responsibilities :
- Develop and implement policies and procedures related to all legal issues (e.g., litigation, complaints, claims) and manage the resolution of all disputes brought by or against RAK Properties.
- Develop and implement a legal department budget and provide supporting evidence to explain any variances.
- Investigate major and complex claims and provide proactive and reactive legal advice to all aspects of the business.
- Interpret and advise on existing and new legislation affecting the business and oversee the implementation of changes and / or dissemination of information as appropriate.
- Review and approve contracts, agreements, and all legal documentation, ensuring they are in strict compliance with all statutory or legal requirements.
- Review progress of outstanding litigations and liaise with external lawyers, where necessary.
- Oversee registration and protection of RAK Properties' intellectual property rights (e.g., trademarks, patents, copyright, etc.).
- Work closely with Finance and HR on all customer and employee-related disputes and provide guidance in developing appropriate contracts and policies.
- Select all external legal advisors to gain perspective on different company legal matters.
- Oversee the database of all major contracts signed by RAK Properties and ensure its protection and integrity at all times.
- Keep abreast of all legislation that can affect RAKP’s business and ensure compliance accordingly.
- Lead and manage the performance of the team in line with good people management practices.
- Interpret laws, rulings, and regulations for individuals and businesses.
- Advise and represent the company in courts, before government agencies, and in private legal matters.

- Present facts in writing and verbally to the company’s clients or others and argue on its behalf.
- Conduct legal analysis and research on various legal matters of the clients or the company.
- Conduct research and analysis of legal problems.
- Provide advice on different legal issues and assist in drafting legal opinions, memoranda, and other briefing documents.
- Actively participate in preparing and drafting different contracts and legal submissions and draft authoritative legal opinions as well.

As a key advisor to the CLO, the Director will drive strategic legal initiatives, ensure compliance, and support the company's growth.
Legal Oversight and Strategy
- Provide oversight on legal services to Group JVs and JV management, including commercial, corporate, governance, regulatory, litigation, and operational matters.
- Develop and implement legal strategies and policies in alignment with business goals and vision.
- Ensure the company complies with relevant laws and regulations.
- Lead entity formation, restructuring, and governance for holding companies and subsidiaries in the UAE and broader GCC region.
- Demonstrate sound professional judgment and a solution-oriented mindset in balancing legal risk and business goals.
- Liaise, negotiate, and manage relationships with external parties such as suppliers, regulators, external counsel, and public authorities, representing and protecting the company's interests.
- Successfully build and support partner relationships with brand regional teams and brand GCs/CLOs, serving as a thought partner and risk manager.
- Establish and maintain effective relationships with management, partners, and other stakeholders.
- Drive timely delivery of legal workstreams, ensuring clear communication and follow-through on complex and multi-party projects.
- Co-lead the onboarding of new brands by supporting negotiations of operational agreements, onboarding into shared services, and store openings (in partnership with Finance, Operations, and Real Estate teams).
- Champion process optimization, knowledge management, and continuous improvement within the team.
- Lead and manage a team of 6-8 legal professionals in the UAE and KSA, fostering a high-performance, collaborative, and motivated environment.
- Manage the operations of the JV legal team, providing expertise, encouraging teamwork, and facilitating professional development to achieve high performance standards.
- Act as a trusted and strategic advisor to the CLO and senior stakeholders.
- Prepare and deliver executive-level reports and presentations for internal governance and external stakeholders.
- Represent the Legal Department in cross-functional initiatives and business leadership forums.
- Work with the CLO on the Legal Department’s budget, ensuring efficient resource planning and spend management
What you’ll need to succeed
- Qualified lawyer with 12+ years of post-qualification experience, ideally in both law firm and in-house environments, with at least 5 years in a managerial or leadership role.
- Regional experience in the GCC in corporate law, including corporate structuring, JV partnerships, and commercial contracts.
- Experience working in the retail industry or with retail clients is an advantage.
- Strong financial and business acumen, including experience contributing to departmental budgets and strategy.
- Ability to adapt to changing business needs, legal developments, and industry trends.
- Exceptional written and verbal communication skills, including the ability to convey complex legal matters for non-legal stakeholders.
- Discretion and sound professional judgment.
- Creative in problem-solving and solution-oriented in approach.
- Arabic and/or French language skills are an advantage.
- Demonstrated success in leading legal teams and managing cross-functional legal projects.
- Highly organized and skilled in project management.
- Proactive and capable of managing competing priorities under pressure.
- Excellent leadership and interpersonal skills to influence, build relationships, and partner with executive leadership.
- A motivational leader with a collaborative mindset, able to uphold standards and maintain strong team morale.
- Proficiency in MS Office.
