Role Overview
The Corporate Legal Manager will be responsible for overseeing all legal matters across Oxinus Holdings and its group companies. This includes providing legal advice to management, ensuring corporate governance and compliance, drafting and negotiating commercial agreements, managing intellectual property, and overseeing legal risks particularly relevant to technology businesses. The ideal candidate should have a proven track record of handling legal affairs within the IT industry and be comfortable working in a fast-paced, innovation-driven environment.
Key Responsibilities
Legal Advisory & Strategy
- Provide legal counsel to senior management and cross-functional teams on matters relating to corporate, commercial, employment, intellectual property, technology, and regulatory laws.
- Develop and implement legal strategies that support the group’s objectives while ensuring full legal and regulatory compliance.
Corporate Governance
- Ensure that all group companies remain compliant with corporate governance standards, laws, and regulations in all operating jurisdictions.
- Oversee the preparation and maintenance of corporate documentation, including board resolutions, shareholder agreements, and meeting minutes.
- Advise on group structuring, mergers, acquisitions, and joint ventures when applicable.
Contract Management
- Draft, review, and negotiate a wide array of commercial and technology-related contracts, including:
- Master Service Agreements (MSAs)
- SaaS agreements
- Software licensing agreements
- Vendor and supplier contracts
- NDAs and MoUs
- Establish and manage a centralized contract management system.
Regulatory Compliance & Risk Management
- Monitor and interpret legal developments, particularly in areas such as data protection (e.g., GDPR), cybersecurity regulations, and cross-border data transfers.
- Conduct legal risk assessments and develop mitigation plans.
Intellectual Property Management
- Advise on IP strategy for the group’s IT products and services.
- Manage registration, protection, and enforcement of trademarks, copyrights, patents, and trade secrets.
- Manage pre-litigation and litigation matters in coordination with external counsel.
- Represent the company in disputes, mediations, or negotiations as needed.
Stakeholder & External Counsel Management
- Liaise with regulators, law firms, government bodies, and industry associations.
- Coordinate with external legal counsel for jurisdiction-specific or complex matters.
Candidate Profile
Qualifications
- Bachelor’s degree in Law (LLB) is required; Master’s degree or specialization in Corporate or Technology Law is a plus.
- Admission to the Bar or equivalent professional legal qualification.
Experience
- 8–12 years of post-qualification experience, with at least 3–5 years in a legal role within the IT/technology sector, ideally with multinational companies or large-scale tech startups.
- Strong understanding of software licensing, digital services contracts, IT outsourcing, data privacy laws, and tech-specific compliance issues.
- Experience with cross-border legal matters and international commercial transactions.

As a Legal Counsel, you will work closely with our General Counsel to handle all complex legal matters and projects, as part of the Legal team across EMPG. You will ensure the legality of commercial transactions and advise our company on legal rights and duties. You will be responsible to draft, review, negotiate and follow up on a variety of contracts under the direction of the General Counsel. Your role will be to support EMPG Group's global legal functions, with primary responsibilities linked to EMPG's UAE businesses.
In this role, you will:
- Handle all corporate legal processes (e.g., intellectual property, mergers & acquisitions, compliance, transactions, lawsuits, patents).
- Develop company policies and legal positions.
- Research and mitigate legal risks.
- Guide managers to ensure compliance with rules and regulations.
- Draft, review, and structure legal documents and reports.
- Represent the company in legal proceedings.
- Draft, review, and negotiate contracts and deal terms.
- Coordinate with internal departments on legal and contract requirements.
- Conduct training on contract processes.
- Liaise with government authorities regarding contracts.
- Organize and maintain legal documentation.
- Provide administrative support to the Legal team.
Minimum requirements:
- Bachelor's degree in Law or equivalent from a recognized commonwealth country; training at an international law firm preferred.
- 5 to 8 years of relevant legal experience, including experience as a TMT lawyer.
- Proficiency in Microsoft Office tools.
- Strong background in corporate law, including contract, tax, securities, and intellectual property law.
- Excellent communication skills, bilingual in Arabic and English preferred.
- Ability to multitask, organize, and work efficiently in a fast-paced environment.
- Strong legal drafting skills and ability to handle complex legal issues.
- Flexible to work across different legal practice areas.

Visa CEMEA Legal team includes subject matter expert group focusing on certain areas of Visa business, such as Value-added Services (VAS), Products, Commercial and Money Movement (CMS), Marketing and Sourcing SME Legal team.
What a Counsel in Legal does at Visa:
The position is for an experienced attorney to join Visa's legal team in CEMEA region to primarily support Visa's Value-Added Services (VAS) function as well as other Visa products, services and solutions and related matters in CEMEA markets.
The position will report to Visa attorney whose team is the Legal SMEs for VAS, Products and Solutions, CMS, Marketing and Sourcing in the CEMEA region. The applicant should ideally have experience in technology, payments, regulatory, advertising, IP, and commercial business law, be able to understand the specifics of Visa business model and technology, assess existing and new initiatives, conduct regulatory reviews, draft and review contracts to the highest standard. The applicant must have solid technical legal skills with good commercial/legal risk judgment, and be able to juggle multiple priorities in a fast paced and challenging, but rewarding, environment.
PRINCIPAL RESPONSIBILITIES/KEY RESULTS AREA
- Be a dedicated resource/go to lawyer for VAS function
- Provide counselling and advice as a strategic advisor to the business regarding assessment and structuring of solutions, regulatory requirements, and common approaches
- Draft, review and negotiate a broad range of commercial contracts as well as develop and manage regional templates/standard documents or adapt Visa global or regional documents to CEMEA requirements
- Support VAS function in promotions, marketing and advertising matters, reviews and assessments
- Where required, coordinate and supervise outside counsels for timeliness, cost-effectiveness, and excellence of service and work product
- Monitor regulatory developments and advise on impact thereof on the business
- Streamline, optimize, improve the legal processes, automate, standardize legal routines, manage VAS contracting
- Assist Visa staff with approval of internal and external communications and presentations
- Some travel may be required

QualificationsBasic Qualifications
•8 or more years of relevant work experience with a Bachelor Degree or at least 5 years of experience with an Advanced Degree (e.g. Masters, MBA, JD, MD)
•Law degree and qualification which allows for in house practice in the applicable jurisdiction
•Minimum 8 years PQE with an international law firm or a multinational organization
•Experience in payment services, payment industry and advertising is advantageous (but not essential)
•Excellent legal analytical skills with the ability to integrate legal advice and business knowledge, while providing balanced advice regarding risks and benefits
•Excellent written and verbal English
•Skilled user of legal tools including AI
