Job Description
We are seeking a skilled and proactive Legal Counsel / Legal Advisor to lead and manage the legal operations of the company. The ideal candidate will ensure compliance with international and local laws, manage corporate structuring and investment agreements, oversee commercial contracts, and handle risk management and dispute resolution across UAE, KSA, RSA, and USA markets.
Key Responsibilities :
1. Legal Compliance
Ensure adherence to local and international laws concerning transportation, labour, and safety.
Monitor legislative changes and advise management on legal implications.
2. Corporate & Investment Legal Support
Support company formation, governance, and structuring, including holding entities and subsidiaries.
Draft and review shareholder agreements, MOUs, and investment documents.
Assist in mergers, acquisitions, and joint ventures.
Ensure compliance with UAE, KSA, RSA, and USA corporate laws.
3. Contract Management & Commercial Law
Draft, review, and negotiate commercial contracts to protect the company’s interests.
Oversee contract lifecycle, milestones, renewals, and compliance.
Manage IP-related matters including trademarks and licensing agreements.
4. Regulatory & Compliance
Develop and implement internal policies and regulatory frameworks.
Liaise with external regulatory authorities and support audits.
5. Risk Management & Dispute Resolution
Identify legal risks and suggest preventive strategies.
Provide support in dispute resolution, litigation, and arbitration.
6. Representation & Advocacy
Represent the company in negotiations, industry forums, legal proceedings, and mediation.
Advocate effectively for the company’s legal interests.
7. Legal Advisory
Advise senior management on legal matters affecting business operations.
Interpret laws to ensure company decisions are legally sound.
8. External Counsel Management
Liaise with external lawyers and advisors.
Monitor performance and manage legal service costs.
9. Policy Development
Develop, update, and implement internal policies in alignment with legal standards.
Ensure ongoing compliance through regular policy reviews.
10. Documentation & Record Keeping
Maintain accurate and accessible legal records, contracts, and compliance files.
Ensure documentation is audit-ready and securely stored.
11. QHSE Compliance
Follow all QHSE-IMS procedures to uphold legal, health, safety, and environmental standards.
Ensure legal activities align with company environmental protection policies.
Requirements
Bachelor’s or Master’s degree in Law (LLB or LLM)
Minimum 5–7 years of legal experience in corporate / commercial law (multi-jurisdictional preferred)
Strong knowledge of UAE, KSA, RSA, and USA corporate laws and business regulations
Experience in corporate structuring, contract negotiation, and litigation
Excellent legal drafting and advisory skills
Strong interpersonal and negotiation abilities
Fluency in English (Arabic is a plus)
Ability to manage multiple stakeholders and work under pressure

- Draft legal contracts, opinions, notices and correspondences as required
- Coordinate with other departments for conducting day-to-day activities of NMDC as well as supporting other departments in the drafting and reviewing contracts as and when required
- Provide advice and/or comments on contracts and/or other related documents
- Negotiate contract terms and conditions with third parties in the interest of NMDC, when required
- Ensure that all appropriate internal processes and procedures are in place and ensure compliance of the same, providing advice and guidance, when and where needed
- Draft new/revise existing contract templates and guidelines under the guidance of the Legal Director
- Provide legal support to the Contracts Department in the management of contracts
- Ensure compliance with regulations, corporate policies and business unit procedure, when needed
- Assist different departments in the resolution/settlement of disputes with third parties be it mutual (amicable) or contentious (courts/arbitration)
- Provide guidance to team members reporting to the Senior Legal Advisor, supervise and review their work
- Legal research and formulation of legal opinions as and when required
- Provide all other legal assistance as may be required for NMDC and/or the line managers

Qualifications
- Juris Doctor (JD) Degree from an accredited law school
- Admission to the bar and a valid license to practice law
- Relevant qualification in Civil or Common Law
- Minimum of 06 years of experience either in in-house or private practice roles in industrial/marine construction/engineering /construction/ engineering business or with a reputable law firm
