Key Accountabilities
- Provide reliable and effective support on corporate governance and corporate secretarial matters and requirements, taking initiative in identifying and resolving problems and issues.
- Coordinate and assist with queries and requests received by the Corporate Secretariat Department to ensure that all matters are dealt with efficiently and appropriately.
- Provide advice corporate governance best practices, policy development, and risk management (from a governance perspective).
- Manage, maintain, and keep under review the department’s operating procedures, internal and global policies, guidelines and charters and ensure they are always up to date and in line with the applicable laws and regulations.
- Conduct regular reviews of corporate governance practices within the Company and identify areas for improvement.
- Prepare reports on corporate governance matters for the line manager and department head, and provide clear analysis and recommendations.
- Coordinate the Company’s global policies process and provide support on the creation, review, maintenance and approval of global policies pursuant to the applicable protocols with different departments and functions at the Company’s Corporate Head Office.
- Maintain the department’s Corporate Governance Handbook and framework applicable at Group level, provide guidance to functions, regions and business units on corporate governance requirements pursuant to the framework.
- Manage, coordinate and review internal governance workflow requests received by the department, ensure that all requirements are met, and facilitate approvals.
- Prepare, manage and maintain Group Corporate Governance manuals and calendars for different entities managed by the department, in line with DP World’s corporate governance requirements and the applicable regulations.
- Prepare and draft corporate governance documentation, corporate resolutions, constitutional documents and corporate secretarial correspondence.
- Manage and maintain the Insider Lists, system, notifications and Insider requirements in line with the applicable laws and regulations.
- Provide support in relation to online virtual data rooms and electronic databases used for the storing and sharing of documents, under the department’s purview.
- Provide corporate governance support as required by the department in relation to transactions and projects.
- Assist with the preparation of materials and presentations for meetings of subsidiary boards managed by the department. This requires not only efficient administrative support but also contribution towards ensuring accurate content, which requires a high level of attention to detail.
- Always act as an ambassador for DP World when working; promoting and demonstrating positive behaviors in harmony with DP World’s values and culture; ensuring the highest level of safety is applied in all activities; understanding and following DP World’s Code of Conduct and Ethics policies
- Perform other related duties as assigned.
- Bachelor’s degree or equivalent level preferred in relevant areas of study (e.g. Business Administration, Corporate Governance, Law).
- Minimum of 7 years’ experience in a corporate governance / secretariat department, law firm or legal department in a multinational organization.
- Membership of the Institute of Chartered Secretaries and Administrators (ISCA) is desirable.
- Proficient computer skills, including Microsoft products and familiarity with a variety of Company Secretariat software, and corporate data management systems.
- Strong communication and interpersonal skills and an ability to work with sensitive and confidential information are a requirement of this role.

- Act as a key liaison between regional regulatory teams and site-based technical functions (QA, QC, Production, Engineering).
